ASRE ACADEMY, LLC CLIENT SERVICE AGREEMENT
This Client Service Agreement ("Contract" or "Agreement") is between ASRE ACADEMY, LLC and ("Client") effective (Effective Date). Client retains the services of ASRE ACADEMY, LLC to provide full-time and/or part-time independent contractors ("Virtual Assistant" or "VA") to assist in real estate administrative services. ASRE ACADEMY, LLC agrees to provide these services on the terms and conditions that follow:
1. ASRE Academy, LLC will provide Virtual Assistants to perform administrative tasks required by the Client and approved by ASRE Academy, LLC with a lock-in period of 1 month. ASRE ACADEMY, LLC will oversee strict VA compliance to full non-disclosure regarding tasks that include Client's financial information, confidential or proprietary information, trade secrets, or other items of value. Client will not require VAs to engage in illegal, unethical, immoral, and/or hazardous Tasks can be modified by ASRE ACADEMY, LLC based on the variable needs of the Client.
The VA will be responsible for having the necessary basic equipment: computer, headset, e-mail, and Internet access. The VA will be solely responsible for their personal taxes while working with the Client. Client will provide immediate reimbursement for any additional expense necessary for the VA to complete their tasks. Client will be required to provide the VA with the necessary orientation and assistance to ensure that a task is accomplished accurately and efficiently. Client is responsible for ensuring that the VA produces original work that does not infringe upon any existing copyright, patent or trademark. ASRE ACADEMY, LLC accepts no responsibility for infringing material created by the VA.
2. Client will pay for either 20 hours upfront upon signing the contract at the rate of $320.00 or 40 hours at the rate of $640.00 ASRE ACADEMY, LLC assumes full responsibility for distributing timely compensation to the The VA is an Independent Contractor, not an employee.
Work assigned by the Client to the VA outside the terms of the VA's contract is not authorized. If the Client terminates this Agreement or notifies ASRE ACADEMY, LLC of its intent to terminate this Agreement, the client cannot hire the VA directly without ASRE ACADEMY, LLC involvement. Client agrees to pay ASRE ACADEMY, LLC the sum of $10,000 as a conversion fee for each VA who is engaged by the Client as an independent contractor or hired directly by Client. The client understands that ASRE ACADEMY, LLC spends substantial time, energy, and money to recruit, train, develop, and manage the Virtual Assistant(s). Client agrees to refrain from any actions that result in a ASRE ACADEMY, LLC Virtual Assistant to be directly hired away from ASRE ACADEMY, LLC.
3. Client acknowledges that they will utilize the full timeblock of hours purchased within a 30 day timeframe. If all hours are not utilized, Client will forfeit the remaining hours they purchased.
Should the client agree, rates for work accomplished by VAs can be increased by ASRE ACADEMY, LLC (up to the equivalent of one and a half of the regular rate) during holidays, scheduled days off or during overtime hours.
ASRE ACADEMY, LLC and its Clients are not obligated to provide holiday leaves, overtime pay, increased rates or additional compensation for these holidays or any other dates, but may do so if they prefer. The VAs do not work on the following days, unless other arrangements are made as noted above:
- New Year’s Day – January 1
- Maundy Thursday
- Good Friday
- Day of Valor
- Labor Day – May 1
- Independence Day – June 12
- National Hero’s Day – August 26
- Bonifacio Day – November 30
- Feast of the Immaculate Conception – December 8
- Christmas – December 25
- Rizal Day – December 30
4. ASRE ACADEMY, LLC can also provide time records of the hours that a VA has logged upon request, but the Client is required to provide a scope of work, training requirements, metrics and performance expectations. Client coordinates with ASRE ACADEMY, LLC to develop tasks that fully utilize the total hours purchased for each VA. Hours logged must correspond with productivity or training for additional tasks based on Client-specific needs.
5. Except as required by law, in no event will both parties provide a warranty or be held liable, whether arising out of contract, tort (including negligence), strict liability, loss, or otherwise for damages arising out of the ASRE ACADEMY, LLC Client Service Agreement, including incidental, consequential, special, or punitive damages, even if both parties has been advised of the possibility of such damages. The Client shall defend, indemnify, and hold harmless ASRE ACADEMY, LLC and its members with respect to such consequential damages. Client agrees that in the event of a dispute or breach of contract, ASRE ACADEMY, LLC will provide arbitration and settle concerns about the rights and obligations set by the ASRE ACADEMY, LLC terms and conditions.
6. Client acknowledges that all communication with ASRE ACADEMY, LLC is transmitted electronically and digitally, including documents, messages, audio and video. Client agrees that all communication with ASRE ACADEMY, LLC may be recorded for training or business purposes.
7. Both the Client and ASRE ACADEMY, LLC agree that the VA will keep all proprietary information confidential - including, but not limited to intellectual property, business strategy, software, processes, procedures, techniques, materials, financial information, trade secrets, assets, operational methods, customer information, contractual information, pricing details - and will not disclose any of this Confidential Information to anyone, except as required by law.
8. No waiver of any provision of this Agreement will be effective unless it is in writing and signed by the party who is waiving such provision. All notices under this Agreement shall be given in writing and deemed to be delivered once sent by electronic mail, personally, or overnight carrier to the address designated by the party receiving such notice. If any provision of this Agreement is found illegal or unenforceable, that provision is severed from this Agreement and the other provisions remain in force. This Agreement is to be governed by and construed in accordance with the laws of The United States of America, without regard to its conflict of law principles.
9. Either party may terminate this Agreement at any time by giving 15 days' written notice to the other party of the intent to terminate. ASRE ACADEMY, LLC may terminate this Agreement if Client can no longer maintain payments, has become bankrupt, insolvent or discontinues operations. ASRE ACADEMY, LLC retains claim to all payments due even after contract termination. Client may assign an authorized representative to oversee invoice and contract details within ten days of this Agreement's If a representative is not selected, the Client maintains sole authority over matters related to this Agreement. Modifications to this agreement will require written approval by both ASRE ACADEMY, LLC and the Client or their authorized representative. Unless terminated by one or both parties, this Agreement takes effect immediately, supersedes all prior agreements, and automatically renews yearly.
10. Upon 180 hours of total blocked VA time, an option for monthly time blocking at a discounted rate will become available and a new monthly service agreement will be signed.
